Terms and Conditions

The rules for accounts, subscriptions, project content, generated output, acceptable use, and professional review responsibilities.

These terms are a production-ready working draft for BAS Control Builder. Have counsel review the operator name, governing law, refund policy, and liability limits before launch.

These Terms and Conditions govern access to and use of BAS Control Builder, including pages, apps, exports, emails, and related services that may also be branded as BAS Control Builder. By creating an account, starting a subscription, accessing the workspace, or using the service, you agree to these Terms.

1. The Service

BAS Control Builder helps professional users create BAS and HVAC controls estimates, equipment records, point schedules, sensor selections, controller matching, wiring details, approval workflows, and exportable drawing or takeoff packages. The service may include hosted cloud features, local or desktop features, generated files, support tools, and third-party integrations.

2. Professional Responsibility

The service is a productivity and drafting tool. It does not replace professional judgment, code review, manufacturer documentation, site verification, commissioning, licensed engineering, legal advice, accounting advice, or contract review. You are responsible for reviewing and approving all generated output before bidding, purchasing, installation, construction, commissioning, submission, or reliance.

  • Verify all point counts, wiring details, terminal labels, controller selections, sensor selections, formulas, pricing, labor assumptions, and drawing notes.
  • Confirm all output against project specifications, local code, manufacturer submittals, sequence requirements, site conditions, and contract documents.
  • Do not use generated output for life-safety, critical infrastructure, or regulated system decisions without qualified professional review.

3. Accounts and Security

You must provide accurate account information and keep your login credentials secure. Accounts are intended for named users and may not be shared, resold, rented, or transferred without written permission. You are responsible for activity under your account, including project content, support requests, approval links, and billing actions.

4. Subscriptions, Billing, and Cancellation

Paid access is provided on a per-user subscription basis unless another written agreement applies. Subscription checkout, payment methods, invoicing, and billing portal access are handled through Stripe or another payment provider. Plans renew automatically until canceled. You may cancel through the billing portal when available or by contacting support@climatyc.com.

Fees are due in advance and are non-refundable except where required by law or expressly stated in a separate written agreement. We may update pricing or plan features with reasonable notice. You are responsible for taxes, charges, and payment-provider requirements associated with your subscription.

5. Customer Content

You retain ownership of project data, uploaded files, notes, approval details, formulas, drawings, and other content you submit to the service. You grant us a limited license to host, process, copy, transmit, display, and create outputs from that content as needed to provide, secure, maintain, support, and improve the service.

You represent that you have the rights and permissions needed to upload or process any content you provide, including customer names, job information, project files, addresses, drawings, specifications, and approval-recipient contact information.

6. Acceptable Use

  • Do not reverse engineer, scrape, overload, disrupt, bypass access controls, or attempt unauthorized access to the service.
  • Do not upload malware, unlawful content, or information you are not authorized to use.
  • Do not share approval links, support masquerade access, or credentials in a way that compromises another person or project.
  • Do not use the service to violate laws, infringe intellectual property rights, or create unsafe installation or engineering practices.

7. Intellectual Property

The service, software, interface, templates, libraries, workflows, designs, logos, documentation, and underlying technology are owned by us or our licensors and are protected by intellectual property laws. Subject to these Terms and payment of applicable fees, we grant you a limited, revocable, non-exclusive, non-transferable right to use the service for your internal business purposes.

8. Third-Party Services

The service may rely on third-party services such as hosting, authentication, database, payment, analytics, monitoring, email, document export, or browser technologies. Your use of those features may be subject to the third parties' own terms and privacy practices. We are not responsible for third-party services we do not control.

9. Availability and Changes

We may modify, suspend, discontinue, or limit access to any part of the service at any time. We aim to keep the service reliable, but we do not guarantee uninterrupted availability, error-free output, compatibility with every device or browser, or continued availability of any specific feature.

10. Termination

You may stop using the service at any time. We may suspend or terminate access if you violate these Terms, fail to pay, create security or legal risk, misuse the service, or if continued operation is no longer commercially or technically practical. Termination does not eliminate payment obligations incurred before termination.

11. Disclaimers

The service and all generated output are provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, and error-free operation.

12. Limitation of Liability

To the fullest extent permitted by law, we will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or lost-profit damages, or for losses involving bids, contracts, installations, project delays, field rework, loss of data, or business interruption. Our total liability for any claim relating to the service will not exceed the amounts you paid for the service in the three months before the event giving rise to the claim, or one hundred dollars if you did not pay for the service.

13. Indemnification

You agree to defend, indemnify, and hold us harmless from claims, damages, liabilities, costs, and expenses arising from your content, your use of the service, your violation of these Terms, your violation of law, or your reliance on generated output without appropriate professional review.

14. Governing Law and Disputes

These Terms are governed by the laws of the U.S. state where the service operator is legally organized or headquartered, without regard to conflict-of-law rules, unless applicable consumer law requires otherwise. Before filing a claim, each party agrees to try to resolve the dispute in good faith by contacting the other party.
